This Promotion is limited to employees of Essent customers which hold an Essent Master Policy AND which have opted in to use EssentEDGE^® risk-based pricing.  OTHER RESTRICTIONS AND THESE OFFICIAL RULES APPLY. 

1. NATURE OF PROMOTION: Since Essent launched EssentEDGE^® in January 2019, thousands of mortgage professionals have used this new risk-based pricing engine to obtain mortgage insurance rate quotes from Essent. To celebrate, each week of the Promotional Period Essent is giving away (a) five (5) Visa gift cards valued at $500 each (the “Weekly Prizes”), and (b) five (5) Amazon gift cards valued at $50 each (the “Bonus Prizes”) to eligible persons employed within the current Essent Master Policy Holder network (see all Eligibility requirements below).

2. ELIGIBILITY FOR WEEKLY PRIZE Limited to Employees of Current Essent Master Policy Holders Opted in to EssentEDGE^® Risk-Based Pricing Only: To be eligible for the Essent Guaranty, Inc. (“Essent” or “Sponsor”) EssentEDGE^® Quote Us 2019 promotional giveaway (the “Promotion”) of Weekly Prizes, participants must be U.S. residents, 18 years or older, who are, from the time of entry through time the prize is awarded and redeemed, employees (or independent contractors) of mortgage lending companies that originate first residential mortgages, which hold an Essent Master Policy AND which have opted in to EssentEDGE^® risk-based pricing. The Promotion is also subject to any policies of participants’ employers governing employee participation and acceptance of prizes/awards in vendor promotions. Eligibility is expressly not dependent upon the referral of business, and it is not necessary to submit an application to Essent for mortgage insurance in order to participate in the Promotion.  Employees of Sponsor and any parent companies, affiliates, or subsidiaries of Sponsor and their immediate family members and persons living in their same household are not eligible to participate in the Promotion. Participation in the Promotion constitutes participant’s full and unconditional agreement to and acceptance of these official rules and regulations ("Official Rules").  This Promotion is subject to all applicable federal, state and local laws and regulations and is void where prohibited.  Winning a prize is contingent upon participant’s fulfillment and acceptance of all requirements set forth herein.

3. ELIGIBILITY FOR BONUS PRIZE: Participants who at the time of entry in the Promotion have not submitted a Rate Quote (defined in Section 6 below) to Essent at any time since August 1, 2019, and who meet all other eligibility requirements set forth in Section 2 above, shall also be eligible for the Promotion’s giveaway of Bonus Prizes.  Accordingly, if you have submitted a Rate Quote to Essent since August 1, 2019 and meet all other eligibility requirements, you will receive entry in the drawing for the Weekly Prizes only.

4. RESPA: The Real Estate Settlement Procedures Act (“RESPA”) prohibits the payment of any fee, kickback, or thing of value in exchange for the referral of real estate settlement service business, including mortgage insurance business, but permits normal promotional activities that are not conditioned on the referral of business and that do not defray expenses that would otherwise be incurred by persons in a position to refer such business.  Eligibility to participate in the Promotion is expressly not conditioned on the referral of any mortgage insurance applications or the purchase of any mortgage insurance business, nor does it defray expenses that would otherwise be incurred.  The Promotion does not in any way reward or provide any thing of value for the submission of mortgage insurance applications or business.  Essent does not provide legal advice; participants should consult and rely upon the advice of their own counsel.

5. PROMOTIONAL PERIOD: The Promotion will commence at 9:00 a.m., Eastern Time, September 30, 2019 and end on 11:59 p.m., Eastern Time, on December 1, 2019 (the “Promotional Period”).  Within the Promotional Period, as described below, there will be an award of certain Weekly Prizes and Bonus Prizes on a weekly basis.  In order to qualify for the Weekly Prize and Bonus Prize drawings, all entries must be received by Essent during the Promotional Period and prior to 11:59 p.m. Eastern Time on each Sunday occurring during the Promotional Period, in accordance with these Official Rules.  Each participant may not win more than one (1) Weekly Prize.  For participants that are eligible for both the Weekly Prizes and the Bonus Prizes, each entry shall be eligible and entered to win both a Weekly Prize and a Bonus Prize, however each participant may not win more than one (1) Weekly Prize and one (1) Bonus Prize.  Once entered at any stage of the Promotional Period, all non-winning entries shall remain entered for any remaining Weekly Prizes and, if eligible, Bonus Prizes.

6. HOW TO REGISTER TO PARTICIPATE // ONE ENTRY PER QUOTE: To enter the Promotion and win any prize, an eligible person must first register for the Promotion by visiting the EssentEDGE^® Quote Us 2019 Promotion website (essent.us/quoteus2019) (“Website”) and complete and submit the online entry form using their employer-provided e-mail address AND then provide the required data inputs in order to receive a unique quote ID prior to ordering a mortgage insurance certificate (“Rate Quote”) successfully through EssentEDGE^®, prior to the end of the Promotional Period.  Upon a valid and completed registration by an eligible person, for each Rate Quote successfully submitted by the registrant through RateFinder, their LOS or pricing engine during the Promotional Period, such registrant will receive one (1) entry for any remaining Weekly Prize drawings, and, if eligible, one (1) entry for any remaining Bonus Prize drawings.  There is no limit on the total number of quotes that may be submitted during the Promotional Period.

7. PRIZES: Two (2) categories of prizes will be awarded: a total of FORTY-FIVE (45) Weekly Prizes, to be awarded FIVE (5) per week during each of the NINE (9) weeks of the Promotional Period, and FORTY-FIVE (45) Bonus Prizes, to be awarded FIVE (5) per week during each of the NINE (9) weeks of the Promotional Period.

A. The Weekly Prizes.  Each winner of a Weekly Prize shall receive one (1) Visa gift card valued at $500 each.  No participant may win more than one (1) Weekly Prize.  At the end of each of the NINE (9) Sundays during the Promotional Period, FIVE (5) entries will be chosen by random drawing from all eligible participants who have entered the Promotion and have not previously won a Weekly Prize. 

B. The Bonus Prizes.  Each winner of a Bonus Prize shall receive one (1) Amazon gift card valued at $50 each.  No participant may win more than one (1) Bonus Prize.  At the end of each of the NINE (9) Sundays during the Promotional Period, FIVE (5) entries will be chosen by random drawing from all eligible participants who have entered the Promotion and have not previously won a Bonus Prize. 

8. WINNER SELECTION AND NOTIFICATION:  Winners will be randomly selected in a drawing from all eligible entries.  The drawing will be conducted by Sponsor or its designee, using randomization methods selected by Sponsor in its sole discretion. Potential winners will be notified using contact information provided at the time of entry. Sponsor shall have no liability for any winner notification that is lost, intercepted or not received by a potential winner for any reason. If, despite reasonable efforts, a potential winner does not respond within SEVEN (7) days of the first notification attempt, or if the prize or prize notification is returned as unclaimed or undeliverable to such potential winner, such potential winner will forfeit his or her prize and an alternate winner may be selected. If any potential winner is found to be ineligible, or if he or she has not complied with these Official Rules or declines a prize for any reason prior to award, such potential winner will be disqualified and an alternate winner may be selected.

9. GENERAL PRIZE CONDITIONS: No cash alternative or substitution of prizes will be allowed, except Sponsor reserves the right in its sole discretion to substitute prizes of comparable value if any prize listed is unavailable, in whole or in part, for any reason.  All or any portion of any prize are non-assignable and non-transferable. Any prizes pictured in point-of-sale, online, television and print advertising, Promotion packaging, and other Promotion materials are for illustrative purposes only.  All details and other restrictions of the prize(s) not specified in these Official Rules will be determined by Sponsor in its sole discretion.  All prize winners agree that they shall be solely responsible for all federal, state and/or local taxes, and the reporting consequences thereof, and for any other fees or costs associated with the applicable prize.

10. PUBLICITY RELEASE:  Subject to applicable law, each winner irrevocably grants Essent the right to use the winner’s name and/or biographical material for advertising, promotional and/or publicity purposes in all forms of media, worldwide in perpetuity, without any obligation or consideration except for the awarding of the prize to the winner.

11. GENERAL:  Essent reserves the right to cancel, suspend, terminate, modify or amend the Promotion at any time. Employees of Essent and their respective parents, subsidiaries and affiliates and the immediate families (parent, child, sibling, spouse) of such employees, are not eligible to participate. Employees of Essent’s direct competitors are not eligible to participate. Any violations of these Official Rules, any attempt to tamper with the Website or the Promotion, or any attempt to otherwise defraud Essent, as determined by Essent in its sole discretion, will result in the individual committing such act(s) being disqualified from the Promotion. Upon disqualification, the disqualified participant’s entries will be forfeited and the participant will not receive any cash, credit or other value in conjunction with the forfeiture. In addition to all other remedies available to Essent at law or at equity, Essent may also prosecute any fraudulent or other illegal activities to the full extent of the law.

12. ODDS OF WINNING: Odds of winning any prize depend on the total number of eligible entries received.

13. RELEASE OF ALL CLAIMS:  By participating in the Promotion, participants agree: that Sponsor and its advertising or promotional agencies and its and their officers, directors, employees, affiliates, agents and successors (collectively, “Sponsor Entities”) will have no liability or responsibility and are hereby released from any liability or responsibility for any claims, injuries, losses or damages of any kind resulting from the Promotion or use of any prize or activity related to the Promotion, including death or any illness or physical or emotional harm, the use of participant's name or city/state to announce the winners of the Promotion, and use of winner’s name and image for publication, advertising and promotional purposes; to indemnify, defend and hold harmless (including attorneys’ fees and costs of suit) Sponsor Entities from any claims, liability, damage, loss, injury or death to persons or property caused or claimed to be caused, in whole or in part, directly or indirectly, in connection with participant’s participation in this Promotion (or any prize or activity related thereto) or acceptance, possession, use or misuse of any prize.

Each participant expressly waives California Civil Code § 1542, or any other statute of similar import or effect, that otherwise may exclude unknown claims from this release, as follows:   I acknowledge that I am familiar with the provisions of California Civil Code § 1542, which provides as follows: “A GENERAL RELEASE DOES NOT EXTEND TO CLAIMS WHICH THE CREDITOR DOES NOT KNOW OR SUSPECT TO EXIST IN HIS OR HER FAVOR AT THE TIME OF EXECUTING THE RELEASE, WHICH IF KNOWN BY HIM OR HER MUST HAVE MATERIALLY AFFECTED HIS OR HER SETTLEMENT WITH THE DEBTOR.”  I, being aware of said code section, hereby expressly waive any rights I may have thereunder, as well as any other statute or common law principles of similar effect.

14. DISCLAIMER OF ALL WARRANTIES, WHETHER EXPRESS OR IMPLIED:  The Sponsor makes no warranties, and hereby disclaims any and all warranties, express or implied, concerning any prize furnished in connection with the Promotion. WITHOUT LIMITING THE GENERALITY OF THE FOREGOING, SUCH PRIZES ARE PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, AND SPONSOR HEREBY DISCLAIMS ALL SUCH WARRANTIES, INCLUDING BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT.

15. DISCLAIMERS: Any attempted form of participation in this Promotion other than as set forth in these Official Rules is void.  Sponsor is not responsible for communications with incorrect contact information; for disruptions in e-mail or other electronic communications; or for any inadvertent typos or errors. Any use of robotic, macro, automatic, programmed or like entry methods will void all such entries and subject such participants to disqualification. If this Promotion is corrupted or impaired by virus, worm, software malfunction or other causes, Sponsor reserves the right at its sole discretion to suspend, modify or terminate the Promotion without notice.  Sponsor assumes no responsibility for any damage to an participant’s, or any other person’s, computer system which is occasioned by accessing the Website or otherwise participating in the Promotion, or for any computer system, phone line, hardware, software or program malfunctions, or other errors, failures, delayed computer transmissions or network connections that are human or technical in nature.  Without limiting the generality of the foregoing, Sponsor is not responsible for incomplete, illegible, misdirected, misprinted, late, lost, damaged, stolen, or postage-due prize notifications; or for lost, interrupted, inaccessible or unavailable networks, servers, satellites, Internet service providers, websites, or other connections; or for miscommunications, failed, jumbled, scrambled, delayed, or misdirected computer, telephone or cable transmissions; or for any technical malfunctions, failures, difficulties or other errors of any kind or nature; or for the incorrect or inaccurate capture of information, or the failure to capture any information.

16. COMPLETE INFORMATION: Participants must ensure that the information they provide is complete and accurate, and submitted in a timely manner. Essent is not responsible if any participant’s e-mail address, telephone, or other contact information does not work, has filters that impeded promotion-related messages, or is changed during the Promotional Period or prior to notification of prize winners. If a dispute arises concerning the identity of a participant, the participant will be deemed to be the registered account holder of the e-mail address of record at the time of entry, if that person meets all other eligibility criteria; otherwise the entry may be disqualified and any potential prize won will be forfeited in Sponsor’s sole discretion. A registered account holder is defined as the natural person who is assigned to an e-mail address by the entity responsible for assigning e-mail addresses for the domain associated with the submitted e-mail address. Potential winners may be required to provide Sponsors with proof that he/she is the registered account holder of the e-mail address associated with the potentially winning entry.

17. PRIVACY NOTICE: By entering the Promotion, participant consents to the collection, use and distribution of their personal information (name, address, e-mail address) by Essent for the purposes of running the Promotion including naming the winners, and to contact participant for commercial purposes.  Essent may also use such information for the following purposes:

•   To administer promotions which customers elect to participate in;

•   To communicate with you and respond to your inquiries and requests;

•   To respond to government regulator requests for information;

•   To enforce Essent’s rights; and

•   As otherwise necessary or appropriate in connection with our business in accordance with Essent’s Privacy Policy, available at essent.us/privacy-policy.

18. GOVERNING LAW/JURISDICTION:  THE PARTIES AGREE THAT ANY AND ALL DISPUTES, ALL ISSUES AND QUESTIONS CONCERNING THE CONSTRUCTION, VALIDITY, INTERPRETATION AND ENFORCEABILITY OF THESE OFFICIAL RULES OR THE RIGHTS AND OBLIGATIONS OF PARTICIPANTS OR SPONSOR IN CONNECTION WITH THE PROMOTION SHALL BE GOVERNED BY AND CONSTRUED IN ACCORDANCE WITH THE INTERNAL LAWS OF THE COMMONWEALTH OF PENNSYLVANIA WITHOUT GIVING EFFECT TO ANY CHOICE OF LAW OF CONFLICT OF LAW RULES OR PROVISIONS THAT WOULD CAUSE THE APPLICATION OF ANY OTHER STATE’S LAWS.

19. ARBITRATION PROVISION AND CLASS ACTION WAIVER:

PLEASE READ THESE "BINDING ARBITRATION" AND "CLASS WAIVER" PROVISIONS CAREFULLY, BECAUSE THEY REQUIRE YOU TO ARBITRATE ALL DISPUTES WITH ESSENT AND LIMIT THE MANNER IN WHICH YOU CAN SEEK RELIEF.  THIS PROVISION GENERALLY PRECLUDES YOU FROM BRINGING ANY CLASS, COLLECTIVE, OR REPRESENTATIVE ACTION AGAINST ESSENT. THEY ALSO PRECLUDE YOU FROM PARTICIPATING IN OR RECOVERING RELIEF UNDER ANY CLASS, COLLECTIVE, OR REPRESENTATIVE ACTION AGAINST ESSENT BY SOMEONE ELSE. IN ADDITION, ARBITRATION PRECLUDES YOU FROM SUING IN COURT OR FROM HAVING A JURY TRIAL.  WHETHER TO AGREE TO ARBITRATION IS AN IMPORTANT DECISION. IT IS YOUR DECISION TO MAKE AND YOU SHOULD NOT RELY SOLELY ON THE INFORMATION PROVIDED IN THESE OFFICIAL RULES, AS IT IS NOT INTENDED TO CONTAIN A COMPLETE EXPLANATION OF THE CONSEQUENCES OF ARBITRATION. YOU SHOULD TAKE REASONABLE STEPS TO CONDUCT FURTHER RESEARCH AND TO CONSULT WITH OTHERS REGARDING THE CONSEQUENCES OF YOUR DECISION.

Scope of Arbitration Provision. You and Essent agree that any past, pending, or future dispute, claim or controversy arising out of or relating to your access to the Website or this Promotion or these Official Rules (including without limitation any dispute concerning the breach, enforcement, construction, validity, interpretation, enforceability, or arbitrability of these Official Rules) (a "Dispute"), shall be determined by arbitration, except that you and Essent are NOT required to arbitrate any Dispute in which either party seeks equitable and other relief for the alleged unlawful use of copyrights, trademarks, trade names, logos, trade secrets, or patents.

Waiver of Class Relief. Whether the Dispute is heard in arbitration or in court, you agree that you and Essent will not commence against the other a class action, class arbitration or other representative action or proceeding. You and Essent are each waiving respective rights to A TRIAL BY JURY OR TO PARTICIPATE IN A CLASS ACTION.

Location of Arbitration and Applicable Rules. You and Essent agree that such arbitration shall occur in Philadelphia, Pennsylvania. You may request to appear in such proceedings telephonically. You and Essent agree that such arbitration shall be conducted by a single arbitrator in accordance with the rules of the Judicial Arbitration and Mediation Service ("JAMS"), as modified by these Official Rules.

Confidentiality. You and Essent shall maintain the confidential nature of the arbitration proceedings and the arbitration award, including the arbitration hearing, except as may be necessary to prepare for or conduct the arbitration hearing on the merits, or except as may be necessary in connection with a court application for a preliminary remedy, a judicial challenge to an award or its enforcement, or unless otherwise required by law or judicial decision.

You and Essent agree that any action, regardless of form, arising out of or related to the Promotion, the Website and/or these Official Rules must be commenced within ONE (1) YEAR after the cause of action accrues, otherwise such action is permanently barred. Each party shall bear its own costs in the arbitration proceeding.

If any portion of this section entitled "Binding Arbitration and Class Waiver" is determined by a court to be inapplicable or invalid, then the remainder shall still be given full force and effect.

20. TAXES AND LEGAL COMPLIANCE: All taxes incurred on prizes and/or any (unspecified) expenses relative to the use and enjoyment of prizes (as applicable) are the participant’s sole responsibility.
